This End-User License Agreement ("EULA") is a legal agreement between you and Vici Capital AB (“Vici Capital”), hereby known as Rekt Games (“Rekt Games”).

This EULA agreement governs your acquisition and use of our FIGHTWORLD software ("Software", “Product”) directly from Vici Capital AB or indirectly through a Vici Capital AB authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the FIGHTWORLD software. It provides a license to use the FIGHTWORLD software and contains warranty information and liability disclaimers.

If you register for a free trial of the FIGHTWORLD software, this EULA agreement will also govern that trial. By clicking "accept", installing and/or using the FIGHTWORLD software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

Each licensee will have their own accounts saved using the respective platforms in which the Game is released upon, for the purpose of storing progress such as levels, choice of items and Game features similar to it. This aspect will hereinafter be referred to as a Profile (“Profile”).

Claiming ignorance, prompting that the licensee did not know the terms of the Agreement, does not absolve the Licensee from liability for failure to comply with the terms.

This EULA agreement shall apply only to the Software supplied by Rekt Games herewith regardless of whether other software is referred to or described herein. The terms also apply to any Vici Capital updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

FIGHTWORLD© (the “Game”, the “Software” or “Product”) is an online video game developed by Rekt Games under Vici Capital AB. In this EULA (as defined below), Rekt Games (“Rekt” or “Vici Capital AB”, “We”, “Us”) means the licensor, as applicable. The licensor grants licenses to You (“End User”, “Your”), the licensee, the user of the device on which the Game will be, or has been installed on and who therefore agrees to this License Agreement.

FIGHTWORLD©, the video game, can be played on multiple devices such as a computer (“PC”), Xbox, Playstation, Switch and/or other devices, and in this document, device will be the general term that applies to any and all instances which enables you to play the Game.

Please read this End User License Agreement (this “EULA” or “License Agreement”) carefully. By using the game or installing the game client, You agree that this license agreement is enforceable like any contract signed by You. If you disagree with any of the terms of this EULA, exit the game and uninstall it from your device.

By entering this EULA, you represent that you are of the age of majority and have legal capacity to enter into a contract in the country or jurisdiction where you reside. If the end user is not of the age of majority, they are obliged to obtain the necessary permission(s) as required by law from parents or another legal representative, as decided by your residing jurisdiction. No child under the age of 13 is allowed to play the Game.

The terms of this agreement may be modified, supplemented, amended or changed at any time by Rekt Games, at its sole discretion, including, without limitation, when Rekt Games updates or upgrades the Game as a product (For more information regarding patches, updates or upgrades, see below). The revised version will be presented when the Game launches, and you will need to accept in order to to continue using the Game. If any future changes to this License Agreement is unacceptable or in which you cannot or won’t comply with, you may terminate this Agreement by uninstalling the Game from your device. By installing and using any modifications of the Game, including updates and upgrades, your continued use of the Game following the notice of changes to this EULA demonstrates your acceptance of those changes.

Rekt Games may change, modify, add, remove or discontinue any aspect of the Game at any time, and/or impose any form of restriction and/or limit to any or all aspects of the Game without notice or liability. You have no interest, monetary or otherwise, in any part of the Game. In short, you accept that we can and will do anything we please with the Game, without liabilities toward you, the licensee.

Failure to comply with any of the restrictions, obligations, limitations or claims with this EULA, shall result in the immediate, automatic or manual termination of the license granted hereunder, and may subject You to civil and/or criminal liability.

Subject to the terms and conditions of this EULA, and your agreement with this, Rekt Games hereby grants to you a limited, non-transferable, non-exclusive license to you which you accept, for the time until you or Rekt Games terminates this License Agreement, to internally install, start and play as a component of the Game, its’ related documentation materials (“Documentation”), as well as any Game updates, upgrades, patches, version changes (collectively known as “Updates”); licensed to you by Rekt Games.

The game is provided for your individual, non-commercial, entertainment purpose only, and it may not be used in any other way or for any other purposes. Except if expressly, and in written form, permitted by Rekt Games, you are not permitted to copy, sell, transfer, exchange, publish, assign or otherwise distribute anything you have been granted or derived from the Game. Furthermore, the license granted to you is royalty-free.

Along with the license granted, you, the end user have additional duties and obligations, which are listed below.

• You are permitted to reproduce the Game by installing it on a device, and play with the latest version (as it will be updated automatically to it), with all files unedited by you.
  
• You are allowed to perform the actions that are provided by the logic of the Game and its technical capabilities.
  
• You are not permitted to, in whole or any part of the Game, copy, photocopy, decompile, reverse engineer, disassemble, translate, adapt, derive source code from, view source code, modify, alter, or create derivative work based on the Game, or in any way attempt to discover the source code, components or digital rights in any format or other forms associated with the Game, or remove any notices or labels on the Game such as proprietary notices, disclaimers. Furthermore, you may note make use of, or cause any other person or entity, to make use of the Game in exchange for payment without the signed written consent of Rekt Games.
  
• You are not permitted to combine the whole or any part of the Game, to be combined or become incorporated in any other software or entity that hasn’t been approved by Rekt Games, the licensor. Furthermore, you are not permitted to incorporate the Software into any other softwares or entities without Rekt Games signed written consent.
  
• By accepting the terms of this agreement, you represent and warrant to Rekt Games that you will not reproduce, rent, lease, distribute, resell, copy, auction or otherwise transfer any part or the whole portion of the Game without the signed written consent of Rekt Games. This applies for any purpose, commercial or non-commercial.
  
• You agree to not allow any other party, such as third parties, to use the Software on behalf of you, for the benefit of you or the third party. Furthermore, you agree to not allow another party access to your account information.
  
• You are not allowed to use the Game in any way which breaches any applicable local, national or international law. If we have features which is not permitted in your country, do not use them or disregard them. If these features are forced upon you, we are willingly not knowing, please contact us by email and we will begin a discussion to either implement changes to these features, or terminate your license immediately until changed. If we have features that are not legal under your jurisdiction, you agree to terminate your license immediately.
  
• You may not use somebody else's’ profile, and/or modify the data of another users profile.
  
• You are not allowed to create or maintain an unlawful connection to the Game or the Game servers, or intercept, emulate, or redirect the communication protocols used by Rekt Games in any way, including packet sniffing, emulation protocols tunneling, modifying, removing or adding game components, using utilities as well as any other means available now and in the future.
  
• You are not allowed to organise, promote and take part in any attacks on the Licensor as well as make other attempts to interfere with their work.
  
• You may not use the game in ways that are not expressly set forth in this License Agreement.
  
• You may not create, facilitate, maintain or in any hold onto an unauthorized connection to the Game or its services, including without limitation, any connection to any unauthorized server that attempts to emulate the Game.
  
• You may not at any time fail to comply with the Terms and conditions.
  
• You may not use any unauthorized third party program that interacts with the Game, including without limitation “hacks”, “cheats”, “bots”, “scripts”, “trainers”, “mods”, “exploits”, or any automated software, program that changes the game files, or the memory allocated to the Game and its content, or one that attempts to interact, intercept, emulate, maintain or redirect communication between the Game, Rekt Games or any ongoing game.
  
• You are not allowed to collect information about the Game by reading areas of memory used by the Game. This memory is used to store information about the Game.

• All intellectual property rights with the Game, including associated ones, and all its parts and copies (including without limitation, the copyright and other intellectual property rights in any form, including images, photographs, video, audio, music, characters, stories, concepts, artwork, art, musical compositions, effects such as audio or video, animations, methods of operation, code, character names, terrain, buildings, properties, appearance of characters, methods of work and otherwise relevant instances or documents to the Game) belong to the Licensor. These are exclusively owned by Rekt Games and is not in any way or form permitted to be used by the licensee.
  
• The licensor may modify, add or remove above intellectual property components and reserves the right to do so without notifying the Licensee.
  
• All intellectual, right, title, license and other property rights in the Game and features or content of any third party which may be accessed directly or indirectly with the Game, belong to the respective content owners or their licensees, and may be protected by copyright or intellectual property laws/treaties. Therefore, this License Agreement grants you no rights to use that content, unless granted by an instance which has those rights.
  
• If the game contains documentation which is provided to you, you may use these privately.
  
• You may not transfer or change any of your rights, duties or obligations to another instance, person or entity.
  
• You are permitted to record, screenshot or depict the game for the purpose of sharing the game, under the condition that all files and memory allocated must be unedited, and show the game “as is”, including without limitation sharing it on any third party platform for content sharing, following the rules and conditions of those platforms. The recorded footage and screenshots belong to you, but the Licensor holds the right to reuse this content for any and all purposes.
  
• All and any rights must be expressly granted and reserved to you by Rekt Games.

• This Agreement shall commence upon your acceptance of the terms and conditions set forth herein and continue thereafter until terminated. You may terminate this Agreement at any time by (i) destroying all copies of the Game in your possession or control; (ii) permanently removing the Game from all Your devices, including computer and game operating devices; and (iii) officially cancelling your Profile (Also known as “Account”), by contacting Rekt Games. Furthermore, Rekt Games may terminate this Agreement at any time for any, or no reason at all.
  
• Violation by you of this Agreement or the Terms & Conditions automatically terminates the rights and licenses granted to you under this Agreement.
  
• If the event occurs where the your license, rights or Agreement is terminated, You must (i) cease to use the Game and/or Software; (ii) immediately and permanently destroy any and all copies of the Game in Your possession and control; and (iii) permanently remove the Software from all Your devices and any other device that holds the Game, its’ content (whole or part of), as well as any locally stored version of Agreements, rights or property that was granted within the context of the Game.
  
• Upon termination of this Agreement for any or no reason, all licenses granted herein immediately shall and will terminate.

Fightworld, the Game, is an online multiplayer game that must be played over the internet, with a continuous internet connection. The Game and its online services are provided by or on behalf of Rekt Games. You agree that Rekt Games, may stop providing support for or access to the game and its services at any time, for any and or no reason at all. Furthermore, you agree that Rekt Games, the licensor, may change, edit, modify, suspend, restrict, remove or in any way alter you access to any features, any part of or the whole Game at any time, without notice or liability to you.

• By installing and/or consuming the Game, you agree that neither Rekt Games, its current and future subsidiaries, partners, officers, directors, board members, employees, contractors, affiliates or any company bound stakeholder, including advisors, shall be liable for any damages or losses that may arise from the game, or from the use of the game, including without limitation any loss of data, goodwill, computer failure or malfunction, or any and all damages or losses. You as the licensee is fully responsible for any damages that may occur that may emerge with the use and/or in regards to the Game.
  
• Neither Rekt Games, its current and future subsidiaries, partners, officers, directors, board members, employees, contractors, affiliates or any company bound stakeholder, including advisors, shall be reliable for any loss or damage, such as the loss or damage of the Profile, such as the virtual goods, virtual currency, statistics, accounts, user standings, rankings, profile information or any other information stored by the game, the service(s) or Rekt Games. By playing the game, you agree that Rekt Games is not responsible for any interruptions of service, including without limitation malfunctions/disruptions of software or hardware failures, ISP-disruptions, or any form of disruption affecting the Game or services and properties required to play the Game. Furthermore, you agree that Rekt Games under no circumstance is liable to you for any damages (direct,consequential, indirect, incidental, exemplary or in another way special). In no event shall Rekt Games’ liability or otherwise, exceed (in the aggregate) the total fees paid by you to Rekt Games during the six (6) months immediately preceding the time such claim arose.

The Game, including without limitation the software, services and manual(s) is provided and/or made available to you “as is” without warranty of any kind, either express or implied, including without limitation any implied warranties of condition, uninterrupted use, merchantability, fitness for a particular purpose or non-infringement.

The foregoing is your sole and exclusive remedy for the express warranty set forth in this section.

Some states and/or jurisdictions do not allow implied limited or exclusion of warranties, in that case, the above may not apply to you. If that is the event, and the media containing the software proves to be defect during the first thirty (30) days after the initial purchase, You should contact the retailer that was your point of purchase, and inquire about their return policies. In the event that we, Rekt Games, are your retailer, please direct all inquiries to info@rektgames.se. Upon your timely presentation to Rekt Games, including the proper proof of purchase and defective media, Rekt Games, at its sole option will (a) correct any defect, (b) provide You with a similar product of similar value, or (C) refund the money you paid for the Software Product.

Rekt Games does not warrant that the Game, the Software or its services will meet your requirements or that its operation will be secure, continuous, error free, virus free, uninterrupted or that any stored data will be accurate or reliable or that any stored data will not be lost, corrupted or that it will be able to remedy any error or defect that may occur. Furthermore, you acknowledge that you install any and all Software on your own risk, and will not hold Rekt Games accountable for any defects that may occur.

By installing and/or using the Game, the Software or its services, you may be installing into your device what may be or is alleged to compromise the security of your device, the hardware, the device files. If at any time you wish to uninstall the software because you believe the security of your device, the hardware, the device files may be, or has been compromised, you may need to execute a separate routine to uninstall the features that may be or has compromised your security.

By using the Game and the software, you acknowledge and agree that, without notice or to consent from you: (A) The Game from time to time and at any times, may enable Rekt Games (or a third party on behalf of Rekt Games), to monitor your computer’s random access memory (“RAM”) for restricted software that operates concurrently with the Game. For purposes of this agreement, the terms “Restricted software” means any third party software, including without limitation, any “add on”, “mod”, “hack”, “trainer”, “modification”, “hax”, or “cheat”, that in Rekt Game’s sole determination; (i) enables or facilitates cheating of any type; (ii) allows users to modify or otherwise alter the game, game interface, environment, functions, and/or experience in any way not expressly authorized by Rekt Games; or (iii) intercepts, gathers, seeks out or otherwise collects information from or through the game. (B) in the event that the Game detects any restricted software, (i) it may communicate information back to Rekt Games, including information regarding your account, data regarding the restricted software, and such information as Rekt Games deems necessary or pertinent; and/or (ii) Rekt Games may exercise all or any of its rights under this agreement or the terms & conditions or the privacy policy, with or without prior notice to you. (C) All gameplay, game play, chat and conversation are subject to monitor and review at any time, and from, time to time, with or without notice to preserve the integrity of the game and protect Rekt Games’ rights.

You hereby agree to indemnify, defend, and hold harmless Rekt Games, its partners, affiliates, contractors, licensors, officers, directors, employees and agents from all claims, damages, costs and expenses (including reasonable legal fees) arising directly or indirectly from your acts or omissions in connection with using the Game, the Software, or its services, or any breach by you of the terms of this Agreement.

You hereby acknowledge and agree that (i) Rekt Games would be irreparably damaged if the terms of this Agreement, or the Privacy Policy were breached, threatened or to be breached or not specifically enforced; and (ii) in addition to such other remedies available to it at law, in equity or otherwise, Rekt Games is hereby entitled, without providing bond, other security, or proof of damages, to seek temporary restraining orders and permanent injunctive relief against your anticipated, actual or continued breach of your duties and obligations as contemplated under this Agreement or the Privacy Policy. In the event any litigation or other action is brought by either party with regards to this Agreement or the Privacy Policy, the prevailing party in such litigation shall be entitled to recover from the other party all the costs, attourneys’ fees and other expenses reasonably incurred by such prevailing party in such litigation or action.

You and Rekt Games agree that if any portion of this Agreement or the Privacy Policy is found illegal or unenforceable, only that portion shall be severed, and the remainder of the Section and the rest of the Agreement and Privacy Policy shall continue to be given full force, validity and effect.

You acknowledge that Rekt Games (or any third party on Rekt Games behalf) may deploy or provide modifications, updates and patches to the Game that must be installed in order for You to continue playing the Game. Rekt Games may update the Game remotely including the Software on your Device, without your knowledge or consent, as Rekt Games determines required. You hereby grant Rekt Games your consent to deploy and apply such modifications, updates and patches as Rekt Games deems necessary or advisable.

Informal negotiations
To expedite resolution and control the cost of any dispute, controversy or claim related to this Agreement (“Dispute”), you and Rekt Games agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) calendar days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other. Rekt Games will send its notice to your billing address or email you to the email address you have provided to Rekt Games. You will send your notice to Rekt Games, Skomaskinsgatan 2, 702 27 Örebro, Sweden. Notwithstanding the foregoing, you and Rekt Games agree that the following Disputes are not subject to the above provisions concerning informal negotiations: (i) any Disputes concerning the validity of any of Rekt Games’ intellectual property rights; (ii) any Dispute related to, or arising from, allegations of piracy, invasion of privacy, theft or unauthorized use; and (iii) any claim for injunctive relief.

Below are disputes expressly provided:

• Governing law and dispute resolution
  This License Agreement and EULA shall be governed by the laws of Sweden, under Swedish law, applicable to agreements wholly to be performed therein and of Sweden, excluding that body of the law related to conflicts of law. Furthermore, this License Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. No waiver of any breach of the provisions of this License Agreement shall be deemed a waiver of any other breach of this License Agreement.
  
  
• Restrictions and arbitration
  You and Rekt Games agree that any arbitration under this Agreement shall be limited to the Dispute between you and Rekt Games individually, furthermore agreeing that any claim you may have arising from, or related to the Game, the Software, its services or this EULA, you agree that the matter is of exclusive personal and subjective matter of any court in Örebro, Örebro Region in Sweden, for making and resolving any and all claims. You also acknowledge and agree to, the full extent permitted by law, (i) no arbitration shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures or similar in nature form of action; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or other persons.

By agreeing to the terms and conditions, in the event of any claim you may have arising from or related to the Game, the Software, Service, this EULA or the Privacy Policy, you agree to the exclusive personal and subjective matter jurisdiction of the courts located in Örebro, Örebro Region, Sweden for making and resolving any claims, and you waive any right to participate in any type of lawsuit brought and/or maintained as a class action- or similar in nature form of action. Furthermore, you agree that Rekt Games, the licensor holds the right to make any claim against you and be granted any legal or equitable remedy against you in any court anywhere in the world.

This agreement represents the complete agreement between you and the Licensor with respect to the subject matter hereof, and supersedes any prior or contemporaneous agreements between you and the Licensor. The Licensors’ failure to enforce any provision of this Agreement shall in no way be construed to be a present or future waiver of such provision, nor in any way shall it affect the right of any party to enforce each and every such provision hereafter. The express waiver by the Licensor of any provision, condition or requirement of this Agreement shall not constitute a waiver of any future obligation to comply with such requirement(s), provision(s), or condition(s).

If any provision of this Agreement is held to be invalid or unenforceable for any reason, such provision shall be reformed to the extent necessary to make it enforceable to the maximum extent permissible, so as to affect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.

Rekt Games may assign its rights under this Agreement, in whole or in part, to any person or entity at any time with or without your consent. You may not assign the Agreement without Rekt Games’s prior written consent, and any unauthorized assignment by you shall be null and void.

You hereby acknowledge and agree that (i) you have read and understood the foregoing Agreement, its terms, conditions, obligations and duties, and the Privacy Policy; (ii) you are at least 18 years of age, and if you are not of the majority of age in your state, you have obtained all necessary parental (or otherwise legal representative) consent to enter into and be bound by this Agreement, and the Privacy Policy; and (iii) you agree that by clicking “Accept” and/or installing the game, and/or playing the game, you are acknowledging your agreement to be bound by the terms and conditions of this End-User License Agreement.

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Vici Capital AB.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
