Popup Dungeon Terms of Use
This is a legal agreement between you and Humble Bundle, Inc. (“Publisher”). If you download and use Popup Dungeon (the “Game”), in addition to the terms of the Steam Subscriber Agreement, your use of the game is governed by these terms of use (“TOU”).
(1) User Generated Content. By posting or submitting any text, images, designs, video, sound, code, data, lists, or other materials or information (such user-submitted content, collectively, "User Generated Content") to the Steam Workshop through the Game you grant to Publisher, its affiliates and sublicensees, the worldwide, non-exclusive right to use, reproduce, modify, create derivative works from, distribute, transmit, transcode, translate, broadcast, and otherwise communicate, and publicly display and publicly perform, your User Generated Content, and derivative works of your User Generated Content, for the purpose of the operation, distribution, and incorporation as part of and promotion of the Game. This license is granted to Publisher as the content is uploaded to the Steam Workshop through the Game for the entire duration of the intellectual property rights. It may be terminated if Publisher is in breach of the license and has not cured such breach within fourteen (14) days from receiving notice from you sent to the attention of Publisher legal department at legal@humblebundle.com. The termination of said license does not affect the rights of any sub-licensees pursuant to any sub-license granted by the Publisher prior to termination of the license. For clarity, this language provides a license only and does not grant any ownership rights to Publisher to any User Generated Content.
You represent and warrant that: (a) You own or control all of the rights, including, but not limited to all intellectual property rights, to the User Generated Content that you post or otherwise have the right to post such User Generated Content through or in connection with the Game; (b) User Generated Content is accurate and not misleading, and (c) use and posting of User Generated Content supplied by you does not violate the TOU, and will not violate any rights of or cause injury to any person or entity, including without limitation the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person and/ or company. You agree to pay for all royalties, fees, and any other monies owing any person and/or company by reason of any User Generated Content posted by you through or in connection with the Game.
You are solely responsible for the User Generated Content that you post, store or upload through or in connection with the Game, including any material, images, design or information that you transmit to other users or post on Facebook. Publisher does not have an obligation to delete, screen or edit any of the User Generated Content posted, stored or uploaded through or in connection with the Game; however, Publisher reserves the right to itself or through a third party, to access, monitor, delete, screen or edit any User Generated Content posted, stored or uploaded through or in connection with the Game at any time and for any reason without notice. Without limiting the foregoing, Publisher may remove any User Generated Content for any reason including content that in the sole judgment of Publisher violates the Steam Subscriber Agreement, the TOU, violates intellectual property rights of a third party, or that may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. Publisher does not endorse any User Generated Content and takes no responsibility and assumes no liability for any User Generated Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto.
(2) Indemnity. You agree that you will defend, indemnify and hold harmless Valve Corporation, Atma Core LLC dba Triple-B-Titles (the developer of the Game), Publisher, their parent, subsidiary and affiliated companies, and each of the foregoing entities’ respective employees, officers, directors, representatives and agents from any and all claims, demands, causes of action, damages, losses, costs and expenses in any way arising out of your use of the Game, of violation of these TOU, including without limitation (i) all matters related to your access to and use of any Publisher online services, including, without limitation, your use of the Game, (ii) your violation of any provision contained in the TOU; (iii) your violation of any third party right, including without limitation any copyright, intellectual property, or privacy right; (iv) any claims that your use of the Game caused damage to a third party, and/or (v) violations of any and all applicable laws, rules or regulations from any jurisdiction.
