END-USER LICENSE AGREEMENT (EULA)
AIKODE VIDEOGAME
IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE INSTALLING, DOWNLOADING, OR USING THE AIKODE VIDEOGAME ("GAME"). BY INSTALLING, DOWNLOADING, OR USING THE GAME, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA.
This EULA is a legal agreement between you ("you" or "User") and ACE ("ACE", "us", "we", or "our"), governing your use of the AIKODE videogame. If you do not agree to the terms of this EULA, do not install, download, or use the Game.
1. GRANT OF LICENSE
Subject to the terms and conditions of this EULA, ACE hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install, download, and use one copy of the Game solely for your personal, non-commercial use on a single device, such as a computer or gaming console.
2. RESTRICTIONS
You may not:
a. Make the Game available over a network for concurrent use;
b. Modify, adapt, reverse engineer, decompile, or disassemble the Game, except as permitted by applicable law;
c. Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Game;
d. Create derivative works based on the Game or any part thereof;
e. Rent, lease, sublicense, sell, distribute, or otherwise transfer the Game or any part thereof to any third party;
f. Use the Game for any commercial purpose, including, but not limited to, offering it as a service to third parties.
3. INTELLECTUAL PROPERTY RIGHTS
All title, ownership rights, and intellectual property rights in and to the Game, including but not limited to its design, characters, graphics, sounds, and software, are owned by ACE or its licensors. Unauthorized reproduction or distribution of the Game, or any portion thereof, may result in severe civil and criminal penalties.
4. USER CONTENT
ACE allows everyone to create, upload, or share content in connection with the Game ("User Content"). You retain all rights in your User Content, but by submitting, posting, or displaying User Content, you grant ACE a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Game and ACE's (and its successors' and affiliates') business.
5. TERMINATION
This EULA is effective until terminated. You may terminate this EULA at any time by uninstalling the Game and destroying all copies thereof in your possession. ACE may terminate this EULA at any time and for any reason, including but not limited to your breach of any terms and conditions of this EULA. Upon termination, you must cease all use of the Game and destroy all copies thereof in your possession.
6. DISCLAIMER OF WARRANTIES
THE GAME IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. ACE DOES NOT WARRANT THAT THE GAME WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE GAME IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7. LIMITATION OF LIABILITY
IN NO EVENT SHALL ACE, ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE GAME, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ACE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE GAME.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ACE, its affiliates, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the Game, your violation of this EULA, or your infringement or violation of any intellectual property or other rights of any third party.
9. GOVERNING LAW AND JURISDICTION
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which ACE is located, without giving effect to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts in the jurisdiction in which ACE is located for the resolution of any disputes arising out of or relating to this EULA or the Game.
10. SEVERABILITY
If any provision of this EULA is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this EULA and shall not affect the validity and enforceability of any remaining provisions.
11. ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and ACE concerning the Game and supersedes any prior or contemporaneous oral or written communications, proposals, or agreements between you and ACE with respect to the subject matter hereof. Any modifications or amendments to this EULA must be in writing and signed by both parties.
